This License Agreement ("Agreement") is entered into between Flowbase PTY LTD ("Licensor") and the user ("Licensee") of the Chalk UI design product ("Product").
1. Grant of License:
Licensor grants Licensee a non-exclusive, non-transferable license to use the Product for personal and commercial purposes, subject to the terms and conditions of this Agreement.
2. Permitted Uses:
Licensee may use the Product to create personal and commercial products, including but not limited to websites, applications, and digital designs.
3. Prohibited Uses:
Licensee may not resell, redistribute, sublicense, or otherwise transfer the Product, in whole or in part, to any third party.
4. Intellectual Property Rights:
Licensor retains all rights, title, and interest in and to the Product, including all intellectual property rights.
5. Termination:
This Agreement shall terminate automatically if Licensee breaches any of its terms and conditions. Upon termination, Licensee must cease all use of the Product and destroy any copies in their possession.
6. Disclaimer of Warranty:
THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
7. Limitation of Liability:
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) ARISING IN ANY WAY OUT OF THE USE OF THE PRODUCT.
8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflicts of law principles.
9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
By using the Product, Licensee agrees to be bound by the terms and conditions of this Agreement. If Licensee does not agree to these terms and conditions, Licensee must not use the Product.
